1. Acceptance of These Terms
These Terms of Service (the “Terms”) govern your access to and use of the Site and any purchase of products or services offered by OPS (collectively, “Products”). By accessing the Site, creating an account, requesting a quote, placing an order, submitting a purchase order, or otherwise purchasing Products, you agree to be bound by these Terms.
If you are using the Site or purchasing on behalf of a company or other entity (“Buyer”), you represent and warrant you have authority to bind that entity, and “you” includes the entity.
2. B2B Use; No Consumer Purpose
OPS sells primarily for commercial and industrial use. Buyer represents that purchases are for business use and not primarily for personal, family, or household purposes. OPS may refuse orders that appear intended for consumer use or shipment to residential addresses, and may require business verification.
3. Related Policies Incorporated
The following are incorporated by reference and form part of these Terms:
- Privacy Policy
- Shipping & Delivery Policy (if posted)
- Any written quote issued by OPS
- Any product-specific instructions, safety sheets, or manufacturer terms included with Products
If there is a conflict, the following order of precedence applies: (1) a written agreement signed by OPS, (2) OPS’s written quote expressly referencing these Terms, (3) these Terms, (4) Buyer’s documents (including purchase orders), which are rejected as set forth below.
4. Quotes, Orders, and Order Acceptance
4.1 Quotes
Quotes are invitations to purchase and are not binding unless stated otherwise in writing. Quotes may expire and may be withdrawn or corrected.
4.2 Order Acceptance
OPS may accept or reject any order in whole or in part in OPS’s sole discretion. An order is not accepted until OPS confirms acceptance in writing (including email) or ships the Products.
4.3 Errors and Corrections
OPS may correct errors (including pricing, availability, shipping charges, or descriptions) even after an order is submitted. If correction materially affects your order, OPS may cancel and refund amounts actually received.
4.4 Minimums; Partial Shipments
OPS may impose minimum order amounts and may ship orders in partial shipments. Partial shipment does not waive OPS’s right to ship remaining items later or cancel remaining items.
5. Accounts, Credentials, and Site Use
You are responsible for maintaining the confidentiality of login credentials and for all actions taken under your account. OPS may suspend or terminate accounts for suspected misuse, fraud, or policy violations.
You agree not to:
- scrape or harvest data from the Site,
- interfere with Site operation (including probing, scanning, or testing vulnerabilities),
- reverse engineer Site functionality,
- use bots or automated ordering tools without written permission,
- use the Site to violate any law or third-party rights.
6. Payment Terms; Credit; Taxes
6.1 Payment
Unless otherwise agreed in writing, all orders are prepaid. If OPS offers credit terms, they may be revoked at any time. OPS may require deposits, prepayment, or other assurances of payment.
6.2 Authorization; Anti-Fraud
Buyer authorizes OPS and its payment processors to charge Buyer’s payment method for amounts due, including adjustments permitted by these Terms. OPS may place holds, request verification, cancel orders, or require alternative payment methods to prevent fraud.
6.3 Late Payments; Collections
Late amounts accrue interest at the lesser of (a) 1.5% per month or (b) the maximum rate allowed by law. Buyer will pay all costs of collection, including reasonable attorneys’ fees, court costs, and collection agency fees.
6.4 Taxes; Exemptions
Buyer is responsible for all sales, use, VAT, excise, duties, and similar taxes, except taxes based on OPS’s net income. If Buyer claims exemption, Buyer must provide valid exemption documentation before shipment; otherwise OPS may charge applicable tax.
7. Purchase Orders; Additional or Different Terms Rejected
Buyer’s purchase orders or similar documents are accepted only as an order request. Any additional or different terms (including return rights, penalty clauses, delivery guarantees, or indemnities against OPS) are expressly rejected and will not bind OPS, even if OPS ships or invoices. OPS’s performance is conditioned on Buyer’s acceptance of these Terms.
8. Shipping, Delivery, Risk of Loss, and Title
8.1 Shipping Method; Routing
OPS may select packaging, carrier, and routing unless otherwise agreed in writing. Delivery dates are estimates only and not guaranteed.
8.2 Buyer-Provided Carrier Account Numbers (UPS/FedEx, Etc.)
If Buyer provides a carrier account number (including UPS, FedEx, DHL, freight broker, or other carrier) or directs OPS to ship using Buyer’s carrier arrangements:
- Agency & Authorization. Buyer authorizes OPS to tender shipments using Buyer’s account as Buyer’s shipping agent for that limited purpose.
- Charges. Buyer is solely responsible for all carrier charges, adjustments, corrections, penalties, address-correction fees, residential surcharges, dimensional weight adjustments, and related fees assessed by the carrier.
- Claims. Because the shipment is billed to Buyer’s carrier account, Buyer is solely responsible for filing, managing, and pursuing all carrier claims for loss, theft, damage, delay, or shortage (including concealed damage), and for maintaining any desired insurance. OPS may, at OPS’s discretion, provide supporting documents as a courtesy.
- No Liability for Carrier Performance. OPS is not responsible for carrier acts or omissions, including delays, delivery exceptions, misroutes, loss, theft, or damage in transit.
8.3 Risk of Loss
Unless otherwise stated in a written agreement signed by OPS, risk of loss transfers to Buyer when the Products are tendered to the carrier (including carrier acceptance scan), even if OPS arranges shipping or prepays freight. Parties agree this allocation of risk is a “contrary agreement” to the extent permitted by applicable commercial law.
8.4 Title
Title passes to Buyer upon OPS’s tender of Products to the carrier or, for local pickup, upon Buyer’s pickup, subject to OPS’s right to reclaim goods and other remedies for nonpayment.
8.5 Delivery; Accessorial Fees; Refusals
For freight/LTL shipments, delivery is curbside unless otherwise stated. Buyer is responsible for liftgate, inside delivery, appointment, limited access, redelivery, storage, and other accessorial fees. If Buyer refuses delivery or fails to take delivery, Buyer remains responsible for all charges incurred and OPS may treat the refusal as a cancellation subject to Section 10 (All Sales Final) and any additional costs.
8.6 Address Accuracy
Buyer is responsible for accurate shipping instructions. Buyer bears all fees and delays arising from incorrect, incomplete, or changed addresses.
9. Inspection; Shortage and Damage Claims Process
9.1 Immediate Inspection Required
Buyer must inspect shipments immediately upon receipt.
9.2 Strict Notice Windows
Buyer must notify OPS in writing of:
- Visible damage, incorrect items, or shortages: within 48 hours of delivery; and
- Concealed damage: within 48 hours of discovery, but in no event later than 7 calendar days after delivery.
Time is of the essence. These deadlines are a condition to any remedy.
9.3 Required Evidence; Packaging Retention
Any claim must include: photos of external packaging, internal packaging, shipping label, and the Product(s), plus a description of damage/shortage. Buyer must retain all packaging and Products for carrier inspection. Failure to provide evidence or retain materials may waive any remedy.
9.4 Buyer-Account Shipments
For shipments billed to Buyer’s carrier account, Buyer must file the claim directly with the carrier and comply with all carrier requirements. OPS has no obligation to replace, refund, or credit for carrier loss/damage, but may offer a discretionary accommodation if OPS elects to do so in writing.
10. Returns, Refunds, and Cancellations — ALL SALES FINAL
10.1 All Sales Final
ALL SALES ARE FINAL. NO RETURNS. NO REFUNDS. OPS does not accept returns and does not provide refunds, except as expressly stated in a written authorization signed by OPS.
10.2 Limited Exception: OPS Shipping Error (If Approved)
If OPS shipped the wrong item and OPS confirms the error in writing, OPS may, at its option: (a) ship the correct item, (b) issue store credit, or (c) authorize a return for replacement. Any such exception requires a written RMA issued by OPS.
10.3 No Unauthorized Returns
Unauthorized returns may be refused, returned to sender at Buyer’s expense, or disposed of without credit.
10.4 Order Changes and Cancellations
Buyer requests to modify or cancel an order are not effective unless OPS confirms in writing. If OPS agrees to a cancellation, Buyer remains responsible for fees and costs already incurred (including supplier restocking fees, special order charges, labor, and shipping).
11. Special Orders; Non-Stock; Consumables
Special-order, custom, non-stock, clearance, used, and consumable items (including items that are opened, installed, or used) are strictly non-returnable and non-refundable.
12. Product Information; Compatibility; Safety
Product descriptions, images, specs, and availability are provided for convenience and may change without notice. Buyer is responsible for confirming compatibility, suitability, installation requirements, and safe handling.
Buyer must follow all manufacturer instructions, safety data sheets (SDS), and applicable laws. OPS does not provide engineering, safety, or regulatory advice; any recommendations are general and not a substitute for Buyer’s own evaluation.
13. Warranties; Disclaimers
13.1 Manufacturer Warranties
Products may be covered by a manufacturer warranty. OPS will pass through manufacturer warranties to the extent permitted. OPS does not itself provide any warranty unless expressly stated in a written document signed by OPS.
13.2 Disclaimer of Implied Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPS DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
13.3 “As Is” Items
Clearance, used, refurbished, and “as is” items are sold AS IS and WITH ALL FAULTS, with no warranty.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- OPS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES (INCLUDING LOST PROFITS, LOST REVENUE, DOWNTIME, BUSINESS INTERRUPTION, OR LOSS OF DATA), EVEN IF ADVISED OF THE POSSIBILITY.
- OPS’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO ANY ORDER, PRODUCT, OR THESE TERMS WILL NOT EXCEED THE AMOUNT ACTUALLY PAID TO OPS FOR THE SPECIFIC PRODUCT(S) GIVING RISE TO THE CLAIM.
These limitations apply regardless of the legal theory (contract, tort, strict liability, etc.).
15. Indemnification
Buyer will defend, indemnify, and hold harmless OPS and its owners, officers, employees, affiliates, suppliers, and agents from any claims, damages, losses, liabilities, penalties, fines, and expenses (including attorneys’ fees) arising out of or related to: (a) Buyer’s use, installation, storage, resale, or distribution of Products; (b) Buyer’s breach of these Terms; (c) Buyer’s violation of law; (d) Buyer’s instructions, including Buyer-provided carrier accounts; or (e) claims by Buyer’s customers or third parties.
16. Chargebacks; Payment Disputes
Buyer agrees to contact OPS first to attempt resolution of payment disputes. OPS may submit these Terms, delivery confirmation, and related records to payment processors. If a chargeback is filed contrary to these Terms and is resolved in OPS’s favor, Buyer will reimburse OPS for chargeback fees, administrative costs, and collection expenses.
17. Compliance With Laws; Export; Sanctions
Buyer represents it will comply with all applicable laws, including import/export controls and sanctions laws. Buyer will not resell or transfer Products to prohibited persons or destinations or for prohibited end uses. OPS may cancel orders that present compliance risk.
18. Confidentiality (Commercial Information)
If OPS shares non-public pricing, quotes, sourcing, or operational details, Buyer will treat it as confidential and use it only for evaluating and purchasing from OPS, unless disclosure is required by law.
19. Intellectual Property; Site Content
All Site content (including text, images, product descriptions, graphics, and software) is owned by OPS or its licensors and is protected by law. Buyer may not copy, modify, distribute, or create derivative works from Site content without written permission.
20. Termination; Suspension
OPS may suspend or terminate access to the Site or Buyer’s account at any time for suspected fraud, abuse, security risk, or violation of these Terms.
21. Dispute Resolution; Governing Law; Venue
21.1 Governing Law
These Terms and any dispute are governed by the laws of the State of [State], excluding conflict-of-laws rules and excluding the CISG.
21.2 Venue; Injunctive Relief
Any lawsuit must be brought exclusively in the state or federal courts located in [County, State], and each party consents to personal jurisdiction there. OPS may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
21.3 Attorneys’ Fees
The prevailing party in any dispute is entitled to recover reasonable attorneys’ fees and costs.
21.4 Time Limit to Bring Claims
Any claim arising out of or related to these Terms or Products must be brought within one (1) year after the event giving rise to the claim, to the extent permitted by law.
(Optional alternative: binding arbitration + class action waiver — include only if your lawyer confirms enforceability in your state and for your buyer base.)
22. Force Majeure
OPS is not liable for delays or failures caused by events beyond OPS’s reasonable control, including supplier failures, carrier delays, labor disputes, shortages, acts of God, power outages, cyber incidents, or governmental actions.
23. Miscellaneous
- Severability. If any provision is unenforceable, the rest remains in effect.
- No Waiver. Failure to enforce any provision is not a waiver.
- Assignment. Buyer may not assign these Terms without OPS’s written consent. OPS may assign freely.
- Entire Agreement. These Terms are the entire agreement regarding the Site and sales unless superseded by a signed written agreement.
- Electronic Communications. Buyer consents to electronic communications and records.
- Changes. OPS may update these Terms by posting an updated version. Changes apply prospectively as of the “Last Updated” date.
